These Terms of Service ("Terms") govern your access to and use of the Foundaro website, applications, and services (collectively, the "Service") operated by Foundaro ("we," "our," or "us").

By creating an account or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Foundaro is a SaaS platform that helps entrepreneurs and indie developers capture, develop, and validate business ideas. Core features include:

• › AI-powered competitor research, idea discovery, and feature analysis
• › Collaboration tools for sharing ideas with partners
• › Public portfolio and community discovery features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

To use the Service you must create an account. You agree to provide accurate, complete, and current information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must be at least 13 years old (or 16 in the EEA) to create an account. By registering, you represent that you meet this age requirement.

You may not share your account credentials, create accounts on behalf of others without their consent, or use automated means to create accounts in bulk.

You agree not to use the Service to:

• ✗ Infringe the intellectual property rights of any third party
• ✗ Upload or transmit malware, viruses, or other malicious code

We reserve the right to investigate suspected violations and to suspend or terminate accounts found to be in breach of these Terms.

The Service, including its design, code, branding, and AI-generated outputs presented as part of the interface, is owned by Foundaro and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.

Nothing in these Terms transfers ownership of our intellectual property to you.

You retain full ownership of the ideas, notes, and other content you create in Foundaro ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, display, and process Your Content solely as necessary to provide the Service to you.

We do not claim any ownership rights over Your Content. We will never sell, license, or share Your Content with third parties for commercial purposes without your explicit consent, except as described in our Privacy Policy.

You are solely responsible for Your Content and represent that you have all rights necessary to grant the above license. You agree not to upload content that is unlawful, defamatory, obscene, or that infringes third-party rights.

When you make an idea public or list it in the community directory, you acknowledge that it will be visible to other users and the general public.

You may delete your account at any time from your account settings. Upon deletion, your data will be removed within 30 days as described in our Privacy Policy.

We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms, with or without prior notice depending on the severity of the violation. In the event of termination, you lose access to the Service and Your Content stored therein.

Sections covering intellectual property, disclaimers, limitation of liability, and governing law survive termination of these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AI-generated content (competitor research, idea suggestions, feature analysis, killer features, financial projections, pitch decks, go-to-market strategies, and other blueprint documents) is provided for informational purposes only. We make no representations about its accuracy, completeness, or fitness for any business purpose. You should independently verify any AI-generated information before acting on it.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDARO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total liability to you for any claims arising from use of the Service shall not exceed the greater of (a) the amount you paid to Foundaro in the twelve months preceding the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
